2. Eligibility

The Services are intended only for individuals who are 13 years of age or older.

If you are between 13 and 17 years of age, you represent that you have permission from a parent or legal guardian to use the Services where required by applicable law.

By using Scoutz, you represent and warrant that:

• You are at least 13 years old.
• All information you provide is accurate and current.
• You have the legal authority to enter into these Terms.
• You will comply with all applicable laws and regulations.

Scoutz reserves the right to suspend or terminate accounts that violate these eligibility requirements.

3. Description of Services

Scoutz is a sports recruiting and athlete development platform that provides tools and services including, but not limited to:

• Athlete profiles
• Parent accounts
• Coach accounts
• Scout accounts
• Recruiting evaluations
• AI-assisted recommendations
• Player rankings
• Video uploads
• Messaging
• Recruiting communication
• Team management
• Event registration
• Live streaming
• Analytics
• Recruiting resources
• Subscription services

Scoutz may modify, improve, discontinue, or remove features at any time without prior notice.

4. No Guarantee of Recruitment

Scoutz provides technology to help facilitate recruiting opportunities.

We do not guarantee:

• Athletic scholarships
• College admission
• Professional contracts
• Team placement
• Recruiting interest
• Playing time
• Rankings
• Exposure
• Evaluations from specific scouts or coaches

Any recruiting outcomes depend on numerous factors outside Scoutz’s control.

5. User Accounts

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity occurring under your account.
• Keeping your information accurate and up to date.

You agree not to:

• Share your password.
• Impersonate another individual or organization.
• Create fake accounts.
• Circumvent security measures.
• Allow unauthorized access to your account.

Scoutz may suspend or terminate accounts suspected of fraudulent or unauthorized activity.

6. User Content

You retain ownership of content you upload, including videos, photos, scouting reports, comments, statistics, and other materials (“User Content”).

By submitting User Content, you grant Scoutz a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for formatting and technical purposes), distribute, display, promote, and otherwise use that content in connection with operating, improving, marketing, and providing the Services.

You represent and warrant that:

• You own or have all necessary rights to upload the content.
• The content does not infringe the rights of others.
• The content complies with applicable laws and these Terms.

Scoutz may remove content at its sole discretion.

7. Acceptable Use

You agree not to:

• Harass, threaten, or abuse others.
• Upload illegal or infringing content.
• Post false or misleading information.
• Attempt to hack or disrupt the Services.
• Upload malware or malicious code.
• Scrape, copy, or harvest platform data without permission.
• Reverse engineer or attempt to access Scoutz source code.
• Use bots or automated tools without written authorization.
• Violate any applicable law.

Scoutz reserves the right to investigate and take action against violations.

8. AI Features

Scoutz may use artificial intelligence to assist with athlete evaluations, recruiting recommendations, profile analysis, content moderation, customer support, and other platform features.

AI-generated content is provided for informational purposes only and does not constitute professional recruiting, coaching, legal, academic, or career advice. Scoutz makes no guarantees regarding the accuracy, completeness, or outcomes associated with AI-generated recommendations.

9. Payments and Subscriptions

Certain Services require payment.

By purchasing a subscription, you authorize Scoutz or its payment processor to charge the applicable fees.

Unless otherwise stated:

• Subscription fees are billed in advance.
• Fees are non-refundable except where required by law.
• Prices may change with advance notice.
• Failure to pay may result in suspension or termination of access.

10. Intellectual Property

The Services, including software, trademarks, logos, graphics, text, designs, databases, and technology, are owned by Scoutz Sports Inc. or its licensors and are protected by intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, license, or create derivative works from any part of the Services without prior written consent.

11. Third-Party Services

The Services may include links to or integrations with third-party services.

Scoutz is not responsible for the content, availability, or practices of third-party providers.

Your use of third-party services is governed by their own terms and privacy policies.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOUTZ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND UNINTERRUPTED OPERATION.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOUTZ SPORTS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, INVESTORS, ADVISORS, CONTRACTORS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICES.

TO THE EXTENT PERMITTED BY LAW, SCOUTZ’S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SCOUTZ DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

14. Indemnification

You agree to defend, indemnify, and hold harmless Scoutz Sports Inc., its officers, directors, employees, affiliates, investors, contractors, licensors, and agents from any claims, liabilities, damages, losses, costs, or expenses arising out of your use of the Services, your User Content, or your violation of these Terms or applicable law.

15. Termination

Scoutz may suspend, restrict, or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, created risk for the platform or its users, or if required by law.

You may stop using the Services at any time. Termination does not affect rights or obligations that accrued before termination.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts.

17. Changes to These Terms

Scoutz may revise these Terms from time to time. Updated Terms become effective when posted. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

Accounts

• You must provide accurate information when you register and keep it up to date.
• You are responsible for activity under your account and for keeping your credentials secure.
• Accounts are for the person or organization that registers them; you may not share or transfer an account without our permission.
• You may register as an athlete, parent or guardian, coach, scout, or event organizer, and certain features are limited to particular account types.

Minors and parental consent

Many Scoutz users are student-athletes under the age of 18. If you are under 18, you may use the Services only with the involvement and consent of a parent or legal guardian, who agrees to these Terms on your behalf and with you.

• An athlete under 18 must have a parent or guardian complete or approve account setup before the athlete's profile becomes discoverable.
• Parents and guardians are responsible for supervising a minor's use of the Services and may manage, restrict, or request deletion of the minor's account.
• Where the Services generate a parent or guardian invitation for an under-18 athlete, the invited parent or guardian will be asked to review and accept these Terms and the Privacy Policy.

The final scope of minors' and parental-consent provisions is subject to counsel's requirements.

User content, including film

"User content" means anything you submit to the Services, including profile information, statistics, messages, photos, and highlight film.

• You retain ownership of your user content.
• You grant Scoutz a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your user content as needed to operate and promote the Services — for example, showing highlight film and profiles to coaches, scouts, and event organizers.
• You represent that you have the rights necessary to submit your user content and that it does not infringe others' rights or violate law.
• For content involving a minor, the responsible parent or guardian grants and warrants these rights.
• We may remove user content that violates these Terms or that we consider harmful, infringing, or unlawful.

SMS and messaging

The Services include in-app messaging and may offer SMS text notifications. If you opt in to SMS, you consent to receive text messages related to your account and recruiting activity.

• Message and data rates may apply, and message frequency varies.
• You can opt out of SMS at any time by replying STOP or adjusting your notification settings; you may still receive essential service messages.
• You must not use messaging features to send spam, harassment, or unlawful content.

Payments and subscriptions

Some features require a paid subscription or a one-time purchase. A paid subscription is not required to download or use the core Scoutz app.

• Subscriptions renew automatically at the then-current price until cancelled, and you authorize us and our payment providers to charge your payment method.
• Purchases made through the Apple App Store or Google Play are also governed by those platforms' terms, and cancellations and refunds may be handled through them.
• You can cancel a subscription from your account settings or the applicable app store; cancel before the renewal (and, for a free trial, before it ends) to avoid the next charge.
• Except where required by law or expressly stated, payments are non-refundable.

Events Marketplace

The Events Marketplace lets athletes and families discover and register for camps, showcases, combines, and tournaments, and lets organizers list and manage them.

• Events are operated by their organizers, not by Scoutz, unless we clearly state otherwise.
• Registration, payment, eligibility, refund, and conduct terms for an event may be set by its organizer, and you agree to them when you register.
• Scoutz is not responsible for the acts or omissions of event organizers or participants, and your attendance at any event is at your own risk.
• Organizers must accurately describe their events and comply with applicable law, including rules protecting minors.

Advertising and sponsorship

The Services may include Scoutz promotions and sponsorship or promotional content from partners. Sponsored content will be identified where required.

• Advertising and sponsorship do not imply endorsement of any user, and we are not responsible for third-party offers.
• As described in our Privacy Policy, Scoutz does not sell the behavioral advertising data of minors.

Acceptable use

You agree not to:

• Misrepresent your identity, age, or affiliation, or create profiles for people without authority to do so.
• Harass, threaten, or harm others, or contact minors for improper purposes.
• Post unlawful, infringing, or misleading content.
• Scrape, reverse engineer, disrupt, or attempt to gain unauthorized access to the Services.
• Use the Services to send spam or to violate any applicable law or third-party right.

Disclaimers and limitation of liability

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. Scoutz does not guarantee any recruiting outcome, scholarship, roster spot, or result.

To the fullest extent permitted by law, Scoutz and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of data, opportunity, or goodwill, arising out of or related to the Services. The specific disclaimers, warranty limitations, caps on liability, and any indemnification terms are subject to counsel's final wording.

Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate access if you violate these Terms or to protect the Services and users. Certain provisions — including content licenses granted before termination, payment obligations, disclaimers, and limitations of liability — survive termination.

Changes, governing law, and contact

We may update these Terms from time to time. When we make material changes, we will update the version identifier and "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect means you accept the updated Terms.

The governing law, venue, and any dispute-resolution or arbitration provisions will be set by counsel.
